Terms & Conditions

Introduction

The following terms & conditions apply to all website design, UX/UI design, web development, automation, and related digital services provided by Cleison Web Design to its clients ("the Client").

By requesting a quotation, proposal, or services from Cleison Web Design, the Client is deemed to have read, understood, and accepted these Terms and Conditions. Acceptance does not require a signed agreement unless otherwise expressly agreed in writing.

Services

Cleison Web Design provides services including, but not limited to:

  • Website design and development.
  • UX/UI design.
  • Webflow development.
  • Website maintenance and updates.
  • AI-assisted automation and workflow solutions.
  • Third-party integrations and related digital solutions.

All services are provided on a project-by-project basis. The specific scope of work, deliverables, timelines, fees, and any applicable project requirements will be agreed in writing before work commences.

Any work requested outside the agreed scope may be subject to additional fees and revised delivery times.

Result and Performance

Cleison Web Design will use reasonable skill and care in delivering the agreed services. However, no specific commercial outcome, business performance, search-engine ranking, conversion rate, revenue, lead volume, or other performance metric can be guaranteed unless expressly agreed in writing.

The Client acknowledges that business and website performance may be affected by factors outside the control of Cleison Web Design.

Charges and Payment

Quotation Validity

Written quotations are valid for 30 days from the date of issue unless otherwise stated.

After this period, Cleison Web Design reserves the right to review and amend the quotation before accepting the project.

Payment Structure

An advance payment (deposit) is required before work begins.

A further payment will become due following the agreed development stage or at another milestone specified in the quotation or proposal.

The applicable payment schedule and amounts will be confirmed in writing before the commencement of the project.

Work will not commence until the required advance payment has been received.

Payment Methods

Payment may be made by:

  • Direct bank transfer.
  • Debit or credit card.
  • Cheque, where agreed in advance.

Any applicable payment processing fees or third-party charges will be communicated to the Client before payment is made.

Late Payment

Invoices must be paid by the due date stated on the applicable invoice or payment schedule.

Where payment is not received by the due date, Cleison Web Design reserves the right to suspend work or withhold delivery of project materials until outstanding amounts have been paid.

Where applicable, Cleison Web Design may also exercise its statutory rights to claim interest and compensation for late payment under applicable UK legislation.

Project Timelines

Any timelines provided are estimates and depend on the project scope and on the timely delivery of required materials, approvals, and feedback.

Cleison Web Design shall not be liable for delays caused by the Client’s actions or omissions, changes to the agreed scope, third-party services, or other factors outside its reasonable control.

Revisions and Scope Changes

The number of revisions included in a project will be specified in the applicable quotation or proposal and forms part of the agreed project scope.

Requests that fall outside the agreed scope may be treated as additional work and charged accordingly.

Significant changes to the agreed scope may require revised fees, deliverables, and project timelines.

Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information, materials, content, and assets required for the project.
  • Confirm that the Client has the legal right to use any content, images, text, trademarks, data, or other materials supplied to Cleison Web Design for use in the project.
  • Review deliverables and provide approvals, decisions, revisions, and feedback within a reasonable timeframe.
  • Provide any required access, credentials, accounts, or permissions necessary to carry out the agreed services.
  • Understand that delays caused by the Client’s failure to provide required information, materials, approvals, feedback, access, or other dependencies may affect project timelines and, where applicable, result in additional costs.

Liability

Cleison Web Design will not be liable for any indirect or consequential loss arising from the provision of the services, including loss of profits, revenue, business opportunity, anticipated savings, or data, except where such liability cannot lawfully be excluded or limited.

Nothing in these terms and conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the foregoing, Cleison Web Design’s total aggregate liability arising out of or in connection with the services shall not exceed the total fees paid or payable by the Client for the specific services giving rise to the claim.

Governing Law

These Terms and Conditions and any agreement between Cleison Web Design and the Client shall be governed by and construed in accordance with the laws of England and Wales.

Subject to any applicable mandatory legal rights, the courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising out of or in connection with these Terms & Conditions or the services provided.
